Whispering Oaks Homeowners’ Association

 Board Meeting Minutes

September 18, 2005

Present were board members, Joe Price, and Al and Sandy Kenyon 

Minutes read and accepted with amendments through motion made by Bill MacDowell, seconded by Dave Anderson, favored by all, and opposed by none. 

To begin the review of the work done by the Covenants Review Committee, John Ragosta emphasized the contrast between covenants and rules. After an initial discussion questioning the board’s ability to alter the wording of said document where it refers to Ralph Morris’s role as declarant, Ragosta made a motion to get a professional opinion concerning the legality of such an action even with the necessary majority vote from association members. 

Then the board and Joe Price discussed the manner in which covenant revisions will be presented to the association as a whole.  Dave Anderson suggested an itemized approach which would enable association members to sushi menu, then Joe Price said he had thought that members would vote for the entire document.  He the added that we could offer the chance for members to list the specific emendations to which they had objection in an “I-agree-with-everything-except-_______” format.  The final decision made concerning the method for the process was left without a conclusion.

By that point, Al and Sandy Kenyon left the meeting, and the board and Price began the process of reviewing the work of the Covenants Review Committee.  Examining the text up to page nine, those present made minor alterations which may be in the document put to the association members for a vote.  At this point, the products of the meeting are neither conclusive nor efficacious.  John Blackford made a motion to adjourn, Bill Griffiths seconded, all favored, and none opposed.

The next meeting is scheduled for 10/20/05.
